The service includes a full review of the company, its articles and filings to ensure the company is in order, full pack of resolutions, minutes and notices to create the change and a draft copy of the new articles. Things you should know:-

  1. There is now no authorised share capital and no mechanism to increase capital. If a client wishes to allot new shares over and above the authorised amount defined in the articles then you will need to change this amount by special resolution or update to the new act.
  2. A secretary is now optional on every company, however, if the articles specifically states that the company must appoint a secretary then the articles will need updating.
  3. When allotting class shares on a new 2006 act company you must set limits by special resolution or include the limits in the articles which reduces the future paperwork and procedure. We have been advised to include the limits in the articles in these situations and this is standard in our articles along with directors authority for conflict of interest.
